Acceptance of Terms

By creating an account, accessing our website, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated by reference.

Eligibility

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

License Grant

Subject to your compliance with these Terms, ClawMatrix grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or internal business purposes. This license does not include:

• Any resale or commercial use of our Services or their contents without our prior written consent
• Any derivative use of our Services or their contents
• Any downloading, copying, or other use of account information for the benefit of any third party
• Any use of data mining, robots, or similar data gathering and extraction tools

Third-Party Connected Data and Authorization

ClawMatrix accesses anonymized or de-identified data from third-party platforms you choose to connect to our Services ("Connected Data"). This may include data from social media platforms (such as profile information and post history), e-commerce platforms (such as purchase history and product interaction data), content platforms, and other third-party services, solely to provide platform functionality such as analysis, insights, and reporting. By connecting a third-party account, you:

• Represent that you have the right and authority to authorize ClawMatrix to access data from that account to the extent permitted by the applicable platform's terms of service.
• Acknowledge that ClawMatrix accesses only de-identified or anonymized data and does not access private messages, credentials, or any data beyond the permissions you explicitly grant.
• Understand that Connected Data is processed for analytical purposes only and is not used to re-identify any individual.
• Agree that you will not use our Services to connect accounts or access data in violation of any applicable third-party platform terms of service or applicable law.

ClawMatrix reserves the right to suspend or terminate access to Connected Data features if we determine that applicable platform terms or legal requirements are not being met.

Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Copying or Distribution: Copying, distributing, or disclosing any part of the Services in any medium without our prior written consent.
• Reverse Engineering: Reverse engineering, decompiling, or disassembling any part of our Services or attempting to access source code.
• Automated Tools: Using automated scripts, bots, or tools to access our Services without authorization.
• Interference: Interfering with or disrupting the integrity or performance of our Services or the data contained therein.
• Unauthorized Access: Attempting to gain unauthorized access to any portion of the Services, other accounts, or systems.
• Misuse of Connected Data: Using Connected Data accessed through our platform for any purpose other than those permitted under these Terms, including any attempt to re-identify de-identified individuals or to combine Connected Data with other datasets for unauthorized profiling.
• Illegal Activities: Using the Services for any illegal purpose or in violation of any local, state, national, or international law, including applicable data protection and privacy laws.

Ownership and Intellectual Property

Aigeo, Inc. and its licensors retain all right, title, and interest in and to the Services, including all intellectual property rights. This includes but is not limited to our software, APIs, documentation, trademarks, logos, and any content or technology we provide. You acknowledge that the Services are protected by copyright, trademark, and other laws of the United States and foreign countries.

Nothing in these Terms grants you any right to use ClawMatrix's trademarks, service marks, logos, or other brand features without our prior written consent.

You retain ownership of any data or content you submit to the Services. By submitting content, you grant ClawMatrix a limited license to process and display such content solely as necessary to provide the Services.

Privacy Policy

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information, including Connected Data. By using our Services, you consent to the collection and use of information as described in our Privacy Policy.

By submitting Feedback, you grant ClawMatrix a perpetual, worldwide, royalty-free, irrevocable license to use, reproduce, modify, and incorporate such Feedback into our Services without any obligation to you.

We strive to maintain the availability and reliability of our Services, but we do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

Warranty Disclaimer

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

CLAWMATRIX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. CLAWMATRIX MAKES NO WARRANTY REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONNECTED DATA OR ANALYSIS GENERATED THROUGH THE PLATFORM. YOU USE THE SERVICES AT YOUR OWN RISK.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CLAWMATRIX, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL CLAWMATRIX'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED FIFTY DOLLARS ($50) OR THE AMOUNT YOU PAID TO CLAWMATRIX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless ClawMatrix, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of the Services
• Your violation of these Terms
• Your violation of any third-party right, including any intellectual property, privacy, or platform terms of service
• Your unauthorized use, misuse, or re-identification of Connected Data
• Any claim that your use of the Services caused damage to a third party

Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by contacting us at support@clawmatrix.ai. Sections of these Terms that by their nature should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, and limitations of liability.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Santa Clara County, California, for the resolution of any disputes arising out of or relating to these Terms or the Services.

Dispute Resolution

Any dispute arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for matters related to intellectual property rights or unauthorized use of Connected Data.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the extent necessary to make it valid and enforceable while preserving its intent.

Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Effective Date" at the top of this page. Your continued use of the Services after any changes indicates your acceptance of the modified Terms. We encourage you to review these Terms periodically.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by ClawMatrix on the Services, constitute the entire agreement between you and ClawMatrix regarding your use of the Services and supersede all prior agreements and understandings.
